Terms and Conditions

1. Intellectual Property Ownership

All content and materials provided in connection with any coaching program, course, workshop, training, or related offering (collectively, the “Materials”), including but not limited to written content, videos, audio recordings, live and recorded sessions, session recordings, transcripts, slides, worksheets, tools, exercises, frameworks, methodologies, curriculum design, program structure, instructional content, and supporting resources, are the sole and exclusive property of Jauls DeBira Creative Holdings & Media, LLC., (the “Company”) including those developed under the trade name, Coaching for Chronic Illness™ and are protected by United States and international copyright and intellectual property laws.

Participation in any program or course does not grant participants any ownership or intellectual property rights in the Materials.

2. Proprietary Framework and Coaching Methodology

The coaching programs, courses, and services offered by Jauls DeBira Creative Holdings & Media, LLC. are grounded in a proprietary framework and methodology developed by Jauls DeBira Creative Holdings & Media, LLC., referred to herein as the Coaching for Chronic Illness Essentials Program™ (the “Framework”).

The Framework includes, but is not limited to, the underlying philosophy, structure, sequencing, principles, models, processes, coaching approaches, decision-making logic, and methods of application used to support client growth and development. The Framework is a protected intellectual asset of Jauls DeBira Creative Holdings & Media, LLC., whether or not it is expressly labeled as proprietary, trademarked, or reduced to written, visual, or recorded form.

3. Limited Right to Experience the Framework

Clients and participants are granted a limited right to experience and engage with the Framework solely for their own personal and professional development as part of the coaching or course experience.

This right does not include permission to replicate, adapt, teach, license, reverse-engineer, systematize, or commercialize the Framework, in whole or in part, for use in any coaching, training, educational, or commercial offering.

4. Limited License for Personal Use of Materials

Participants are granted a limited, non-exclusive, non-transferable, revocable right to access and use the Materials solely for their own personal education and professional development.

Except as expressly stated in Section 5 (Licensed Coaching Tools), this permission does not permit participants to copy, reproduce or replicate, adapt or modify, distribute, sell, sublicense, publish, teach, license, display, perform, or create derivative works from the Framework or Materials, in whole or in part, for any commercial, educational, or non-commercial purpose or use them to create competing or substantially similar offerings.

5. Licensed Coaching Tools for Client Use

As part of select coaching programs and courses, participants are granted permission to use a limited set of designated tools (the “Licensed Coaching Tools”) with their own individual coaching clients.

Only those tools expressly identified by Jauls DeBira Creative Holdings & Media, LLC. as Licensed Coaching Tools are eligible for this limited use. All other Materials and all aspects of the Framework remain fully protected and subject to the restrictions outlined in these Terms.

6. Permitted Use of Licensed Coaching Tools

Participants may:

  • Provide the Licensed Coaching Tools directly to their individual coaching clients
  • Use the tools in one-to-one or group coaching sessions as part of client support
  • Share the tools with clients in printed or digital format for client use

Participants may not:

  • Sell, license, rent, or commercially distribute the Licensed Coaching Tools as standalone products
  • Include the tools in courses, workshops, trainings, certifications, memberships, or educational programs
  • Rebrand, rename, materially modify, or claim authorship of the tools
  • Represent the tools, or any substantially similar content, as original intellectual property created by the participant

Use does not extend to teaching the underlying Framework. All other materials remain fully protected.

7. Attribution Requirement

When sharing Licensed Coaching Tools with clients, participants must retain all existing copyright notices, attributions, and branding included on the tools.

Participants may not remove, obscure, alter, or replace any attribution identifying Jauls DeBira Creative Holdings & Media, LLC. as the creator.

8. No Teaching, Training, or Certification Rights Granted

Permission to use the Licensed Coaching Tools with clients does not grant participants the right to teach, train, certify, or instruct others on the tools, nor to incorporate the tools into educational or training materials of any kind.

No train-the-trainer, certification, or sublicensing rights are granted under these Terms.

9. Prohibition on Framework Replication or Derivative Use

Clients and participants may not:

  • Copy, recreate, formalize, or systematize the Framework or any substantially similar methodology
  • Develop, market, or deliver programs, courses, trainings, or services derived from or substantially similar to the Framework
  • Represent the Framework, or any portion thereof, as their own original method, system, or approach
  • Use insights gained from the Framework to build competing or substitutive offerings that mirror its structure, sequencing, or application

This restriction applies regardless of whether such use is direct, indirect, modified, or presented under a different name, format, or medium.

10. Artificial Intelligence and Machine Learning Prohibition

Participants are expressly prohibited from uploading, inputting, transmitting, or otherwise providing any Materials, Licensed Coaching Tools, or descriptions of the Framework—including but not limited to written content, session transcripts, audio, video, slides, tools, and methodologies—into any artificial intelligence, machine learning, large language model, or similar automated system for any purpose, including but not limited to:

  • Training or fine-tuning AI systems
  • Analyzing, summarizing, or reverse-engineering the Framework
  • Generating or creating derivative content, study guides, methodologies, or educational materials
  • Creating competing or substantially similar programs, products, or services

This restriction applies regardless of whether the AI system is used for personal, professional, educational, or commercial purposes.

11. Confidentiality of Program Content

Participants agree that all non-public Materials and any information shared during live sessions, group discussions, or program forums are confidential and proprietary.

Participants may not disclose or share such content outside the program without prior written consent of Jauls DeBira Creative Holdings & Media, LLC.

12. AI Use and Professional Responsibility

Jauls DeBira Creative Holdings & Media, LLC. may use technology tools, including artificial intelligence–assisted platforms, to support general business operations such as content development, administrative efficiency, research, and resource creation. All products, services, and materials are reviewed, refined, and delivered under the full direction and responsibility of the Company.

The Company does not rely on artificial intelligence to replace professional expertise, judgment, or decision-making. All services, programs, and content are developed and delivered with the Company’s oversight, experience, and discretion.

The Company is committed to maintaining the integrity and confidentiality of its work. Personally identifiable information, sensitive personal details, or confidential information shared by clients, participants, or users will not be knowingly entered into artificial intelligence tools without explicit consent.

13. Enforcement and Remedies

Unauthorized use, reproduction, distribution, or misuse of the Materials or the Framework constitutes a material breach of these Terms. Jauls DeBira Creative Holdings & Media, LLC. reserves the right to immediately terminate access to any program or course without refund and to pursue all available legal remedies, including injunctive relief, damages, and recovery of legal fees where permitted by law.
